Our Two-Tier Governance System

Role: The members are the owners or founders of the NGO referred to as guarantors. They agree to pay a nominal sum if the organization is ever wound up and cannot pay its debts . This provides the “limited liability” protection for the directors.

Responsibilities: Ensure that the organization sticks to its core mission. This is by:

• Appointing and removal of directors .
• Approve annual accounts and reports.
• Make changes to the organization’s governing document (the Articles of Association)

Role: The board is the key decision-making body with overall legal control and management of RLN. The members are also charity trustees,  carrying significant legal duties and responsibilities .

Responsibilities: The board’s role is strategic, not operational. Its core functions include:

• Setting the organization’s strategy and ensuring it aligns with the mission.
• Overseeing financial health, approving budgets, and ensuring funds are used properly.
• Appointing, supporting, and reviewing the performance of the Executive Director (ED).
• Ensuring the NGO complies with all relevant laws and regulations.
• Managing risk and safeguarding the organization’s assets and reputation
